Proportional representation for director appointments permits articles to provide majority appointments by transferable or cumulative voting with periodic reappointment. Proportional representation may be adopted in a company's articles to govern the appointment of not less than two-thirds of directors by mechanisms such as the single transferable vote or cumulative voting, allowing periodic appointments and requiring casual vacancies of those directors to be filled as provided in the Act.
