Allotment procedure limits public issue allotment, oversubscription rounding and proportionate allocation across investor categories, protecting retail minimums. Regulation 145 prohibits allotment where prospective allottees are below a specified minimum and restricts allotment to the securities disclosed, except for limited oversubscription rounding in consultation with the designated stock exchange. Allotments outside retail, non institutional and anchor categories must be proportionate within categories with rounding to integers and minimum application-size floors; retail and non institutional allocations must meet their respective minimum bid or application sizes and remaining shares are allotted proportionately. The designated stock exchange's authorised employees together with lead managers and registrars must finalise the basis of allotment fairly under the prescribed procedure.
