Listing without a public issue requires a draft information document, in principle exchange approval and listing within thirty days. An issuer seeking listing without a public offer must file a draft information document with the Board containing disclosures per Part A of Schedule VI, obtain in principle approval from the relevant stock exchange(s), and list the securities within thirty days from Board observations or the lapse of the period under regulation 25(4). IPO-related provisions such as allotment, issue opening/closing, advertising, underwriting, pricing and dispatch do not apply; minimum public shareholding and minimum offer requirements are waived for listing on the innovators growth platform. The information documents must be board approved and signed by directors, the CEO and CFO, who certify disclosures and remain liable for misstatements or omissions.
