Listed issuers can issue bonus shares under SEBI rules if conditions are met, including no defaults and proper authorizations.
A listed issuer can announce and issue bonus shares to its members under SEBI regulations if it meets certain conditions. These include authorization by its articles of association, approval from stock exchanges for listing and trading of all securities, no default on fixed deposits or debt securities, no default on statutory employee dues, making any partly paid shares fully paid-up, and ensuring that none of its promoters or directors are fugitive economic offenders. If the articles of association do not permit bonus shares, a resolution must be passed at a general body meeting to amend them.
