of <h1>Issuers can set equity share prices and convertible securities terms under Regulation 249, with lead managers or book building.</h1> Regulation 249 of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, allows an issuer to set the price of equity shares and, for convertible securities, determine the coupon rate and conversion price. This can be done in consultation with lead managers or through a book building process. The book building process must be conducted as specified in Schedule XIII.
