Section 101 Amended: General Meetings Now Possible with Shorter Notice If 95% Voting Members or Shareholders Consent.
Section 101 of the principal Act has been amended to allow a general meeting to be called with shorter notice than previously specified if certain conditions are met. For an annual general meeting, at least 95% of voting members must consent in writing or electronically. For other general meetings, if the company has share capital, a majority representing at least 95% of the voting share capital must consent. If there is no share capital, 95% of the total voting power must agree. Members entitled to vote only on specific resolutions are considered only for those resolutions.
