Independent director appointment: deposit requirement waived when nomination committee or board recommends the candidate for appointment. Amendment inserts a proviso exempting from the statutory deposit requirement the appointment of an independent director, a director recommended by the Nomination and Remuneration Committee constituted under the corporate governance provision, and a director recommended by the Board where the committee is not required to be constituted.
