Board meeting participation via video conferencing permitted when quorum is physically present for matters covered by existing proviso. The amendment permits a director to participate by video conferencing or other audio visual means in a board meeting when there is a quorum through physical presence of directors, limited to matters specified under the first proviso to section 173(2).
