Appointment of senior directors permitted where government approval follows board application despite absence of a special resolution. Amendment permits appointment of a person who has attained the prescribed upper age limit where votes in favour exceed votes against and the Central Government, on application by the board, is satisfied the appointment is most beneficial; it also substitutes a reference to items being specified in Part I of the Schedule.
