Partner liability applies when partners consent or neglect, exposing both LLP and partners to prosecution. Where a limited liability partnership commits an offence under the Act and it is proved to have been committed with the consent or connivance of a partner or designated partner, or to be attributable to neglect on their part, both the limited liability partnership and the responsible partner(s) or designated partner(s) shall be guilty of the offence and liable to be proceeded against and punished accordingly.
