This agreement, along with any amendments, must be filed with the Registrar in the prescribed manner and with the required fees. Agreements made before the LLP's incorporation can bind the LLP if ratified by all partners post-incorporation. In the absence of an agreement on specific matters, the First Schedule provisions will determine the rights and duties.
