of <h1>LLP Partners Governed by Agreement; Must File Amendments with Registrar; First Schedule Applies if No Agreement Exists.</h1> The mutual rights and duties of partners in a limited liability partnership (LLP), as well as those between the LLP and its partners, are primarily governed by the LLP agreement. This agreement, along with any amendments, must be filed with the Registrar in the prescribed manner and with the required fees. Agreements made before the LLP's incorporation can bind the LLP if ratified by all partners post-incorporation. In the absence of an agreement on specific matters, the First Schedule provisions will determine the rights and duties.
