Partner liability arises where an LLP offence occurs with a partner's consent, connivance or neglect, exposing them to prosecution. If an offence by a limited liability partnership is shown to have been committed with the consent or connivance of, or attributable to neglect by, any partner or designated partner, those partner(s) or designated partner(s), as well as the partnership, shall be guilty of the offence and liable to be proceeded against and punished.
