of <h1>LLP Partners' Rights and Duties Governed by Agreement; First Schedule Applies if No Agreement Exists.</h1> The mutual rights and duties of partners in a limited liability partnership (LLP), and between the LLP and its partners, are primarily governed by the LLP agreement. This agreement, along with any amendments, must be filed with the Registrar in the prescribed manner and with the necessary fees. Pre-incorporation agreements can impose obligations on the LLP if ratified by all partners post-incorporation. In the absence of a specific agreement, the provisions in the First Schedule will determine the mutual rights and duties.
