Board decision-making by majority vote, with casting vote and written circulation permitted subject to two-thirds support. All business of the Board is to be considered at Board meetings and decided by majority vote of members present and voting, with the Chairperson having a casting vote in case of equality. The Chairperson may instead direct decision by circulation of papers and written opinions, but no such decision is valid unless supported by not less than a two-thirds majority of the members.
