Due diligence required.</h1> Regulation 106O under the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2009, outlines the filing requirements for public or rights issues of specified securities by small and medium enterprises. Issuers are not required to file the draft offer document with SEBI but must file it with the SME exchange and the Registrar of Companies through a merchant banker. The merchant banker must submit a due-diligence certificate with additional confirmations. The offer document must be displayed on the websites of SEBI, the issuer, the merchant banker, and the SME exchange where the securities are to be listed.
