Regulation 84 requires the placement document for a qualified institutions placement to contain all material information, including Schedule XVIII and applicable Part G-like disclosures, be serially numbered and circulated only to select investors; the issuer must furnish the placement document and a compliance certificate to the recognised stock exchange when seeking in-principle approval, and must post the document on the issuer's and exchange's websites with a disclaimer that it relates to a QIP and is not a public offer.
