It is required to enter into agreements with an overseas custodian bank and a domestic depository. The lead merchant banker, after independently evaluating the capabilities of other intermediaries, advises the issuing company on their appointments. These provisions were inserted by the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, effective from December 1, 2015.
