<h1>Issuers Restricted from Using Convertible Debt for Group Loans or Acquisitions, Exceptions for Short-Term Fully Convertible Debt</h1> Issuers are prohibited from issuing convertible debt instruments to finance the replenishment of funds, provide loans, or acquire shares of entities within the same group or under the same management. However, issuers may issue fully convertible debt instruments for these purposes if the conversion period is less than eighteen months from the issue date. Entities are considered part of the same group if they meet the criteria outlined in the Monopolies and Restrictive Trade Practices Act, 1969, or if they are interconnected undertakings. The term 'under the same management' is defined by the Companies Act, 1956.
