Preferential issue conditions: special resolution and compliance requirements govern eligibility and restrictions on allotment. Regulation 72 permits a listed issuer to make a preferential issue only if a shareholder special resolution is passed, proposed allottees' equity shares are in dematerialised form, the issuer complies with continuous listing conditions in the listing agreement, and the Permanent Account Number of proposed allottees is obtained. The regulation prohibits preferential allotment to persons who sold the issuer's equity shares within six months before the relevant date, allows Board relaxation aligned with takeover regulation relief for certain instruments, and renders promoters/promoter groups ineligible where they sold shares in that six month period or failed to exercise warrants for one year from expiry or cancellation.
