<h1>Regulation 106D: Domestic Depository Must Facilitate IDR Holders' Access to Rights Offerings and Additional Entitlements.</h1> Regulation 106D of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2009, mandates that the domestic depository, as per the depository agreement with the issuer during the initial IDR offering, must facilitate IDR holders in accessing entitlements under a rights offering. The depository is responsible for issuing additional IDRs, distributing rights to IDR holders or renouncees, and arranging for these parties to subscribe to any additional rights available due to the non-participation of other underlying shareholders. This provision was inserted by an amendment effective from September 23, 2011.
