SEBI Regulation 7 tightens merchant banker net worth norms, linking compliance to Companies Act section 2(57) definitions
Regulation 7 prescribes minimum net worth requirements for merchant bankers under SEBI's Merchant Bankers Regulations, 1992. Category I merchant bankers must maintain a net worth of at least INR 50 crore, and Category II merchant bankers at least INR 10 crore. Existing registered merchant bankers must comply within the manner and time specified by the Board. A merchant banker that fails to meet the prescribed minimum net worth cannot undertake any fresh permitted activity until compliance, without prejudice to SEBI's enforcement powers. Net worth, for a body corporate, is as defined in section 2(57) of the Companies Act, 2013, and for a limited liability partnership, is the sum of fixed partners' contribution plus reserves and surplus.
