Applicability of listing regulations for listed entities based on securities and market capitalisation, with phased compliance timelines.
Regulation establishes the scope of applicability of listing regulations to listed entities according to types of designated securities, thereby making the regulations apply to entities that have listed specified securities including non-convertible securities, IDRs, securitised debt instruments, security receipts and mutual fund units. It prescribes market capitalisation-based applicability by requiring recognised stock exchanges to rank entities and triggers applicability after a three-month/next-financial-year transition, with an express obligation to put systems and processes in place and disclose the Business Responsibility and Sustainability Report and related assessments in the annual report. Provisions tied to outstanding listed debt continue to apply notwithstanding falling below thresholds, while continued inapplicability is prescribed only after three consecutive years outside thresholds.
