SEBI Listing Regulations Require Compliance Based on Market Capitalization Rankings with Three-Month Implementation Window
The SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 apply to entities with designated securities listed on recognized stock exchanges, including specified securities, non-convertible securities, depository receipts, securitized debt instruments, security receipts, mutual fund units, and other Board-specified securities. Market capitalization-based requirements are determined annually by stock exchanges ranking listed entities based on average market capitalization from July to December. Entities must comply within three months after December 31 or from the next financial year. Requirements continue to apply unless an entity remains outside applicable thresholds for three consecutive years, after which provisions cease at the end of the following financial year.
