Issuers must submit draft offer documents for public debt securities to stock exchanges per Regulation 13.
Regulation 13 of the Securities and Exchange Board of India (Issue and Listing of Non-Convertible Securities) Regulations, 2021, mandates that issuers of public debt securities or non-convertible redeemable preference shares submit a draft offer document to the stock exchange and forward a soft copy to SEBI, along with the regulatory fees outlined in Schedule VI. For non-convertible securities issued via private placement, the designated stock exchange is responsible for collecting the regulatory fee from the issuer at the time of listing, as specified in Schedule VI.
