Debenture trustee powers include appointment of nominee director and supervision of security creation and monitoring of security cover. Debenture trustees must have powers to protect debt security holders, including a right to appoint a nominee director in consultation with holders; supervise creation of security, establishment of a recovery expense fund and a debenture redemption reserve where applicable; and monitor security cover for secured debt securities as specified by the Board.
