Regulation 36: Underwriting Public Issues of Debt Securities Requires Full Disclosure in Offer Documents
Regulation 36 of the Securities and Exchange Board of India (Issue and Listing of Non-Convertible Securities) Regulations, 2021, addresses the underwriting of public issues of debt securities and non-convertible redeemable preference shares. It permits eligible intermediaries to underwrite these issues either fully or partially. When underwriting arrangements are made, the offer document must include adequate disclosures about these arrangements to ensure transparency and inform potential investors.
