It recognises electronic book provider platforms and arrangers for private placements, prescribes definitions for debt securities, secured debt securities, placement memorandum, tranche and shelf prospectus, debenture trustee, depository and designated stock exchange, and adopts market standards such as day count convention. New categories including Environment, Social and Governance Debt Securities and Green Debt Security are defined with eligible project categories and utilisation requirements, thereby enabling issuance and regulatory treatment of sustainability-linked and thematic debt instruments under SEBI regulations.
