Nomination in One Person Company requires prior consent, successor membership on death/incapacity, and Registrar filings. Nomination in a One Person Company requires the subscriber's prior written consent from the nominee and recording of the nominee in the memorandum and in Form No. INC-32 (SPICe+) at incorporation. If a nominee withdraws, the sole member must nominate another person within fifteen days and the company must file the withdrawal and new nomination with the Registrar in Form No. INC-4, with the nominee's declaration and prescribed fee within thirty days. Successor members who assume membership must themselves nominate a successor and ensure the company files the required intimation and declaration in Form No. INC-4 within thirty days.
