Nomination by securities holders: nominee may elect registration or transfer of securities on holder's death, subject to registration rules. Any holder may nominate a person in Form No. SH.13 to receive securities on the holder's death; the company must record the nomination in the securities register and process the request within two months. Joint holders must nominate jointly. On death, the nominee may elect to be registered or to transfer the securities, providing required evidence and a written election with the death certificate. Transfer restrictions and registration rules apply as if the deceased had executed the transfer. A nominee receives dividends and other advantages but cannot exercise meeting rights until registered. The Board may require an election and withhold payments for noncompliance. Nominations may be cancelled or varied by notice in Form No. SH.14, effective on receipt. For a minor nominee, the nominator may appoint a person to take entitlement if the minor dies during minority.
