Placement memorandum requirement: venture capital funds must document investor terms and file agreements plus collection report. Regulation 16 requires a venture capital fund to either issue a placement memorandum detailing the terms on which monies are to be raised or enter into a contribution or subscription agreement specifying those terms, and to file with the Board a copy of that document along with a report of the money actually collected from each investor.
