<h1>SEBI Amends Listing Regulations: New Rules for SR Equity Shares and Independent Directors on Boards.</h1> The Securities and Exchange Board of India (SEBI) issued the Fourth Amendment to the Listing Obligations and Disclosure Requirements Regulations, 2019, effective upon publication in the Official Gazette. Key changes include mandates for listed companies with outstanding SR equity shares: at least half of the board must be independent directors, audit committees must consist solely of independent directors, and two-thirds of the nomination, remuneration, and stakeholders relationship committees must be independent directors. SR equity shares are to be treated equally with ordinary shares, except in voting on resolutions, and must convert to ordinary shares within specified conditions, including the fifth anniversary of listing.
