It has released a Guidance Note detailing when such restrictions are considered ancillary, typically justifying a three-year term for transfers involving goodwill and know-how, and two years for goodwill alone. The scope should be limited to the business sold and its operational territory. CCI plans to remove a requirement for detailed non-compete information in merger filings, allowing parties more flexibility while ensuring compliance with competition laws. Public comments on the draft amendment are invited until June 15, 2020.
