<h1>Pledge of securities through depositories: standardised forms, notice to pledgor before sale, and beneficiary recording on invocation.</h1> Creation and invocation of pledges through the depository system must incorporate the Indian Contract Act requirement that the pledgee give reasonable notice to the pledgor before sale; the pledge request form must record pledgor and pledgee undertakings to comply with the Indian Contract Act, Depositories Act and applicable SEBI regulations; depositories must adopt a standardised pledge request form and, on invocation, notify both parties and record the pledgee as beneficial owner in line with Regulation 79(8). Depositories must amend byelaws, update systems and implement these measures by April 6, 2026. SEBI issued the circular under its statutory powers.
