<h1>Public Trustees Can Act on Behalf of Members at Meetings, But Not Outside, Per Section 187B.</h1> The circular clarifies that under section 187B, a public trustee can exercise rights and powers at a company meeting on behalf of a trustee who is a member. However, the public trustee cannot replace the trustee in exercising rights outside of meetings. Specifically, the right to give consent under section 171(2) is not exercisable at a meeting and, therefore, cannot be exercised by the public trustee.
