Member consent rights under company law cannot be exercised by the public trustee when not exercisable at a meeting. The public trustee's authority under section 187B extends only to rights and powers exercisable at company meetings, and because the right to give consent under section 171(2) is not exercisable at a meeting, the public trustee cannot exercise that consent power.
