Analysis: The agreement granted the plaintiff exclusive distribution, exhibition and exploitation rights for the territory of Delhi and Uttar Pradesh on an outright sale basis up to 9 July 2007. The territorial limitation was treated as significant, because telecasting on Doordarshan and similar platforms would extend beyond the agreed local territory. The court relied on the accepted distinction in film trade between theatrical rights and independent telecasting or satellite rights, and held that such latter rights must be specifically assigned. The trade circulars relied upon by the plaintiff were treated as advisory and incapable of enlarging the contractual rights.
