<h1>Foreign investors no longer need to file FC-GPR form for share issuance after 2013 regulatory amendment</h1> The Foreign Exchange Management (Transfer or Issue of Security by a Person Resident Outside India) Regulations, 2000 contains Annex D, which was a form FC-GPR that companies were required to file through authorized dealer banks with RBI regional offices when issuing shares or convertible debentures to foreign investors. The form collected comprehensive details including company information, foreign investor particulars, security issuance details, shareholding patterns, and required declarations of compliance with FDI policies, sectoral caps, and relevant laws. Companies needed to provide certificates from company secretaries and chartered accountants confirming legal compliance and proper valuation. This annex was subsequently omitted in 2013, having been previously inserted in 2012 with retrospective effect from 2011.
