Company Law Board Amends Regulation 4: Meetings Can Now Proceed with One Member Present, Including Chairman or Vice-Chairman
The Company Law Board issued amendments to regulation 4 of Chapter II of the Company Law Board Regulations, 1991, under Notification No. GSR 619(E) dated September 5, 2002. These amendments, effective upon publication in the Official Gazette, modify the composition requirements for board meetings. Specifically, the requirement for 'not less than two Members' has been changed to 'one or more members' in regulations 4(1), 4(1A), and 4(3). This adjustment allows meetings to be conducted with a minimum of one member, including the possibility of the Chairman or Vice-Chairman being present.
