<h1>New Rule Mandates Declaration for Cross-Border Mergers with Neighboring Countries u/s 230 of Companies Act.</h1> The Companies (Compromises, Arrangements and Amalgamations) Amendment Rules, 2022, effective from May 30, 2022, modify the 2016 rules. A new sub-rule requires a declaration in Form No. CAA-16 for mergers, compromises, or arrangements involving Indian companies and entities from countries sharing a land border with India. This declaration must be submitted during the application process under section 230 of the Companies Act, 2013. The form mandates confirmation of whether prior approval under the Foreign Exchange Management (Non-Debt Instruments) Rules, 2019, is necessary and, if so, that it has been obtained.
