SEBI Amends Buy-back Regulations: Updates Terminology, Introduces 'Maximum Price,' and Revises Company Buy-back Procedures.
The Securities and Exchange Board of India (SEBI) has amended the Buy-back of Securities Regulations, 1998, through the 1999 amendment. The changes include substituting the term 'share' with 'specified securities,' 'shareholders' with 'security-holders,' and 'share certificates' with 'security certificates.' Additionally, references to the Companies (Amendment) Ordinance, 1998, have been updated to the Companies (Amendment) Act, 1999. The amendment also introduces the concept of 'maximum price' for buy-backs and allows company boards to determine specific buy-back prices. Furthermore, sub-regulation (6) of regulation 19 is omitted, and Schedule I clause iii is revised.
