Amendment to Rule 9A: Exemptions for Nidhis, Government Companies, and Wholly-Owned Subsidiaries in Securities Allotment Rules.
The Companies (Prospectus and Allotment of Securities) Amendment Rules, 2019, were enacted by the Central Government under the Companies Act, 2013, and came into effect upon their notification in the Official Gazette on January 22, 2019. These amendments modify the Companies (Prospectus and Allotment of Securities) Rules, 2014, specifically adding a provision to rule 9A. The new provision exempts certain unlisted public companies, namely Nidhis, government companies, and wholly-owned subsidiaries, from the application of this rule. The principal rules have been amended multiple times since their initial publication in 2014.
