Comparable Uncontrolled Price Method permits direct comparison with an uncontrolled transaction where identical raw materials are supplied by an unrelated vendor. Where an associated enterprise merely intermediates, adds no value, and its mark-up is reversed through credit notes so that the effective purchase price matches the vendor price, CUP is the appropriate method. Transactional Net Margin Method and retained comparables are not justified on those facts. Including omitted operating revenue under DRP directions would also remove the proposed adjustment. Accordingly, no arm's-length price adjustment is warranted for such routed raw-material purchases.

Arm's length pricing of electricity transferred from eligible captive power plants to a non-eligible cement unit for profit-linked tax deduction must use the tariff actually paid by that unit to the distribution licensee. Market value for a specified domestic transaction is the arm's length price applicable in uncontrolled conditions. Regulated supplies by independent generators to State distribution utilities are not reliable comparable uncontrolled price transactions. The cement unit's own purchase from the licensee is a reliable internal uncontrolled comparable, and supplier differences do not defeat comparability. A mark-up cannot be added under the comparable uncontrolled price method; the transfer-pricing adjustment is deleted and the deduction is allowable.
Transfer-pricing comparability and receivables adjustments focus on functional alignment, actual AE balances, and netting of payables.
Transfer-pricing adjustments concerning imported goods and trade receivables raise comparability and notional-interest issues. Comparable companies are examined for functional similarity, assets employed, risks assumed, product differences affecting profitability, availability of segmental financials, and material turnover differences. Foreign-exchange losses arising from significant currency fluctuations are raised as potentially non-operating for arm's-length-price computation. Compulsorily convertible debentures retained their debt character until actual conversion because holders lacked pre-conversion voting and dividend rights and the instrument carried stipulated interest. Interest within the comparable uncontrolled price range was arm's length and deductible as interest on borrowed capital; it was not non-business expenditure merely because the lender rendered no services. Delayed associated-enterprise receivables did not warrant a separate notional-interest adjustment where working-capital adjustment already addressed the funding effect, adjusted margins exceeded comparable margins, and similar or longer credit periods were allowed to unrelated customers without interest.
Foreign tax credit recomputation requiring fresh examination is a change of opinion, not rectification of an apparent error.
Foreign tax credit accepted after scrutiny assessment cannot be recomputed through rectification where the proposed restriction requires fresh examination of profit attributable to foreign receipts. Rectification is limited to an obvious and patent error apparent from the record; it does not extend to debatable matters, issues requiring long-drawn inquiry, or a revised view of a claim already examined with supporting particulars. Recomputing the credit in these circumstances constitutes a change of opinion, so the rectification order lacks jurisdiction under Section 154 and must be quashed.

Comparable selection also requires testing related-party transactions against the applicable threshold and excluding companies outside the one-tenth-to-ten-times turnover range. Delayed collection of trade receivables from an associated enterprise beyond the agreed credit period is financing arising from business debt and therefore a separate international transaction requiring independent transfer-pricing benchmarking. Arm's-length interest applies only to actual invoice-wise delay beyond that period, using a rate aligned to the receivable currency rather than a mechanical LIBOR spread; for foreign-currency receivables, the benchmark is LIBOR plus 200 basis points.
Transfer-pricing study rejection requires demonstrated unreliable data before fresh benchmarking can replace the taxpayer's comparability analysis.
Section 92C(3)(c) permits fresh determination of the arm's length price only where the data used in a transfer-pricing study is unreliable or incorrect. Rejecting a database search without identifying defects in the databases, keywords, filters, methodology or functional analysis does not establish unreliability. Applying additional filters alone is insufficient to displace the taxpayer's search. The additional filters should instead be incorporated into the existing search, followed by verification of whether exclusions are justified by comparability of functions, assets and risks. On this basis, rejection of the transfer-pricing study is not valid.

On those facts, deletion of the transfer-pricing adjustment was sustained. Interest disallowance on interest-free advances requires a demonstrated direct nexus with interest-bearing borrowings; substantial interest-free funds and no such nexus supported deletion. Form 26AS interest, net of tax deducted at source, recorded as "Rate Difference" and included in returned income did not establish additional undisclosed income, so the related addition was deleted.
Draft assessment order requirement protects non-resident individuals by invalidating prejudicial final assessments issued without statutory DRP recourse.
Section 144C treats a non-resident individual, other than a company, as an eligible assessee from 1 April 2020. Where a prejudicial variation is proposed, the Assessing Officer must first issue a draft assessment order, allowing the assessee to accept the variation or object before the Dispute Resolution Panel. Direct issuance of a final assessment order denies that statutory remedy. The failure to issue a draft order is a jurisdictional defect, not a procedural irregularity, rendering the final assessment order without jurisdiction and liable to be quashed.

Stay of recovery of the outstanding income-tax demand pending appeal was made conditional on deposit of 20% of the demand, after excluding the proportionate demand relating to services rendered to an associated enterprise that had been claimed as already offered to tax. Recovery of the remaining demand was stayed for 180 days or until disposal of the appeal, whichever occurred first, provided the required deposit was made within four weeks.
Omitted domestic-transaction provision prevents penalty for failure to furnish Form 3CEB without a saving clause
Omission of the specified domestic-transaction requirement in section 92BA(i) ended the related obligation under section 92E to furnish Form 3CEB. Without a saving clause, the omitted provision ceased to operate and could not support initiation or continuation of penalty proceedings under section 271BA, even where the transactions occurred while the clause remained in force. Penalty for non-furnishing of Form 3CEB was therefore unsustainable.
