Outdoor playground equipment, including qualifying spare parts, is classified under tariff item 95069990 as sports goods and taxable at 5%. Outdoor gym equipment and its qualifying spare parts are classified under tariff item 95069190 as equipment for general physical exercise and taxable at 18%. Parts solely or principally used with Chapter 95 articles generally follow the equipment classification. Ball and roller bearings remain separately classifiable under Heading 8482 because that specific tariff entry prevails over the general parts classification; their applicable tariff entry depends on their specifications, and they are taxable at 18%.
Tax payable is material to prosecution for failure to furnish a return under Section 276CC because the statutory exception depends on the assessee's tax liability. Where no assessment or other tax determination exists, the complaint does not allege tax payable, and a refund claim remains unaddressed, prosecution is misconceived. Wilful failure is also essential: the statutory presumption of culpable mental state may be rebutted through evidence showing no intent to evade tax. Evidence that property was jointly acquired, loan-financed, and that sale consideration was received by the spouse rebutted wilfulness. The convictions and sentences were set aside, and the assessee was acquitted.
Reassessment proceedings alleging bogus purchases require the Assessing Officer to decide objections to reopening through a separate speaking order and communicate it before completing reassessment. Incorporating the response to those objections only in the reassessment order does not satisfy this mandatory procedure and makes the assumption of jurisdiction unsustainable. Reassessments for the relevant assessment years were therefore quashed, while challenges to the alleged bogus-purchase additions became infructuous. Remand was declined because restoring jurisdictionally invalid proceedings would revive stale matters; the Revenue may proceed in accordance with law.
Filing a first appeal against a disputed tax demand does not automatically stay recovery. A stay requires valid reasons and a specific stay petition; where no petition was filed before recovery, the taxpayer cannot claim a stay as of right or obtain refund merely because the appeal remained pending. Refund of the amount already recovered was therefore declined. However, substantial recovery already made may justify protection against further coercive recovery until disposal of the first appeal.
Gains from share and securities sales retained their capital-gains character because no factual distinction from later assessment years justified recharacterisation as business income. Import-purchase payments to a Japanese non-resident associated enterprise remained free from withholding-tax disallowance, as identical later-year determinations governed the issue. Rule 8D could not support an additional section 14A administrative-expenditure disallowance unless the Assessing Officer examined the accounts, recorded dissatisfaction with the taxpayer's own disallowance, and identified expenditure related to exempt income. Formulaic application without these steps required deletion of the additional disallowance. The Revenue's appeal failed, while the taxpayer's appeal succeeded on section 14A.
Customer-referral commission, calculated as a fixed percentage of sales to referred customers, does not constitute fees for technical services under the India-Netherlands tax treaty or the Act where no technical or consultancy service, design, technology, or know-how is provided or made available for independent future use. Such commission is business income and is not taxable in India under the treaty in the absence of a permanent establishment. Beneficial treaty treatment must be given effect, and withholding-tax credit relating to interest on income-tax refunds must be granted in accordance with law.
Cash-payment disallowance under section 40A(3) requires verified foundational facts: payments exceeding the prescribed limit to a particular payee on a particular day, supported by examination of books, vouchers and potential Rule 6DD exceptions. Assumptions about abnormal profit rates cannot replace those statutory conditions, so unsupported disallowances cannot be sustained. Where a civil contractor's books are unverifiable and unreliable, the first appellate authority's co-terminous powers permit rejection of books under section 145(3) and estimation of business income. Treating a potential profit result as independently making section 40A(3) inapplicable is legally unsound, but does not invalidate a properly supported book rejection and income estimation.
Berry ratio is unsuitable as a profit level indicator for a jewellery manufacturer that bears material, inventory, price and manufacturing risks, because value-added expenses exclude material costs, capital deployment and risks; total cost is the more reliable base. Sales transfer-pricing adjustments based on that ratio were deleted. Notional interest on associated-enterprise receivables requires parity analysis against unrelated customers: where identical 180-day, interest-free credit terms applied, the adjustment was deleted. For a later year, verification was required and any interest confined to delays beyond 180 days at six-month LIBOR plus verified bank spread. Transfer-pricing adjustments could not be included in book profit contrary to binding directions.
Jurisdictional satisfaction for penalty under section 271(1)(c) must be recorded during assessment, including a direction to initiate penalty under that provision where deemed satisfaction is invoked. Initiation under section 271AAC, a distinct provision with separate conditions and consequences, cannot support a later notice or penalty under section 271(1)(c). A subsequent penalty order cannot amend the assessment order or retrospectively create foundational jurisdiction. The penalty was therefore deleted, while the quantum appeal remained for independent determination on merits.
Delayed trade receivables from an associated enterprise that remain unpaid beyond the agreed credit period are treated as a separate financing transaction and require independent arm's length benchmarking. Only the delay exceeding the actual arm's length credit period should attract interest, calculated in the receivable currency with a justified spread; LIBOR plus 200 basis points is prescribed for foreign-currency receivables. For ITES comparable selection, verification is required of the service-income and 25% related-party transaction filters. The turnover filter excludes companies with turnover above ten times or below one-tenth of the tested party's turnover.
Compulsorily convertible debentures retain their debt character until actual conversion; compulsory conversion alone does not turn stipulated pre-conversion interest into an equity return. Their arm's-length interest cannot be determined at nil by replacing the contracted debt transaction with equity without defects in the comparable uncontrolled price analysis. Where working-capital adjustment already captures receivable effects and the same non-interest credit policy applies to unrelated customers, separate notional interest on associated-enterprise receivables duplicates the benchmarking adjustment. Pre-conversion CCD interest remains a contractual cost of borrowed capital, deductible absent findings of sham expenditure or non-business diversion; lender services are irrelevant.
For specified domestic transactions, market value constitutes the arm's length price, with the special rule in the Explanation to section 80A(6) prevailing over the general provision. Regulated tariffs at which generating companies supply distribution licensees are not comparable uncontrolled prices because they are not negotiated in uncontrolled conditions. The cement unit's purchase rate from its distribution licensee was the more reliable internal comparable for captive electricity transfers; functional differences did not alter that comparison, and a mark-up on an average price was unsustainable. The transfer-pricing adjustment was deleted and the related deduction allowed. A challenge solely to initiation of penalty proceedings was dismissed as premature.
Transfer-pricing adjustment on raw-material purchases routed through a pass-through associated enterprise is not warranted where the unrelated foreign supplier directly supplies the goods and credit notes reduce the effective price to that supplier's price. An additional invoiced component used solely for customs-duty valuation does not justify an arm's length price adjustment in those circumstances. Compliance with the direction concerning operating revenue results in no further adjustment. The transfer-pricing adjustment on these purchases was deleted and the appeal allowed.
Taxability of business income from transfer of property held as stock-in-trade arises when the transferee receives possession in part performance of a written agreement for consideration and remains willing to perform. Receipt of the full consideration and delivery of possession complete the transfer; later registration of a conveyance incorporating the earlier agreement is procedural and does not create a fresh transaction. Accordingly, the deemed-consideration rule for stock-in-trade applies only in the previous year of the completed transfer, not in a later year solely because the conveyance was registered then. Income is attributable to the earlier assessment year, and the later-year addition does not survive.
Faceless assessment permits Assessment Units to exercise Assessing Officer functions, including issuing scrutiny notices, without requiring the National Faceless Assessment Centre to issue them. ESOP discount reimbursed to a holding company constitutes employee compensation accruing over the vesting period where the liability has arisen and is reasonably estimable; later exercise, lapses or forfeitures require corresponding adjustments. A disallowance for failure to deduct tax from settlement compensation requires an identified statutory withholding obligation. Relinquishment of a right to sue does not itself establish payment for services, commission, brokerage, professional or technical services, or a non-compete arrangement; for non-resident payments, withholding depends on taxability in India.
Compulsorily convertible debentures remain debt until conversion, notwithstanding mandatory conversion, absence of principal repayment, regulatory classification or accounting treatment. Their interest must therefore be benchmarked as debt for arm's-length pricing; treating pre-conversion CCDs as equity and fixing interest at nil is unsustainable. Debt-equity recharacterisation is contemplated under Chapter X-A only where an arrangement is declared impermissible and the prescribed procedure is followed. As that procedure was not invoked, the transfer-pricing adjustment based on recharacterisation of unsecured CCDs as equity was deleted.
Reciprocal transfers of developed plots under a pre-existing arrangement for consolidating fragmented ownership may constitute valid consideration in kind, notwithstanding deeds showing nil monetary consideration. Section 43CA applies only where consideration received or accrued is below stamp duty value. Where each transfer was matched by equivalent land transferred to the transferor's nominees and no shortfall against stamp duty value was found, the deeming fiction did not apply. The section 43CA addition was deleted because the conveyances represented reciprocal exchanges rather than understated consideration.
Project-import assessment under Heading 98.01 depends on registration of the relevant contract on or before importation and before clearance for home consumption; execution of a foreign-supplier purchase order is not importation. Accordingly, only goods imported after contract registration may receive project-import treatment, subject to all other regulatory conditions, while goods imported before registration do not qualify. Post-clearance revision of a qualifying Bill of Entry remains available under Section 18A notwithstanding the restriction in Section 149, but remains subject to prescribed requirements. Consequential refund processing may follow for qualifying post-registration consignments.
Pre-CIRP export-obligation defaults cannot support continued Denied Entry List restrictions after an approved, unchallenged resolution plan extinguishes the Government's operational-debt claim and attached performance obligations. Coercive administrative orders issued against the corporate debtor during the insolvency moratorium were void ab initio, and the impugned orders and listing were set aside, subject to fresh lawful action for an independent subsequent default. Inaction by the final decision-making authority constituted part of the cause of action, supporting territorial writ jurisdiction. Availability of an alternative remedy did not oust constitutional writ jurisdiction.
Material defects in the Information Memorandum, including overstated debt, omission of guarantor recovery, erroneous creditor ranking and undisclosed SEZ de-notification, distort voting, valuation and resolution-plan feasibility; commercial wisdom cannot cure those defects. A corporate guarantor that pays the financial creditor is subrogated to secured rights only to the amount paid and must be ranked as a secured financial creditor. The financial creditor's claim against the principal borrower must be recomputed from the finally adjudicated debt after crediting recovery from the guarantor. A plan requiring conversion or sub-leasing of SEZ leasehold land without statutory consent or completed approvals is neither feasible nor viable. The process must restart with a corrected Information Memorandum and fresh resolution invitation.
