Vidya Sagar Jha
We are a trading company in Delhi and Now our company has opened a Factory in Mumbai also as a Manufacturing unit, however as per company MOA it is already declare that our nature of business is Trader & Manufacturer of the Machines. So, clarify that it is compulsory (in sense of statutory requirements)to intimate ROC about our New Manufacturing set up in Mumbai or enough as per our declaration in MOA. Reply Awaited....... VS Jha
Commencement of business: opening a new manufacturing unit does not require ROC intimation if covered by the MOA. Where the MOA already declares the company's nature of business as trader and manufacturer, establishing an additional manufacturing unit is not shown to be statutorily prohibited; the respondent cites section 149 of the Companies Act, 1956 and indicates that starting a new unit does not attract a specific restriction or identified ROC filing obligation in the discussion.
