No Shareholder Resolution Needed for Asset Disposal and Relocation Within Same ROC Jurisdiction, Says Expert A query was raised about whether a company needs shareholder approval to dispose of assets and leasehold improvements as scrap when relocating its registered office within the same ROC jurisdiction and acquiring new assets for the new location. The question also asked if an ordinary or special resolution is necessary. One respondent, Dr. Mariappan Govindarajan, opined that no shareholder resolution is required. The person who initiated the query acknowledged this response with thanks. (AI Summary)
