<h1>Transitional Rules for Resolutions Under Companies Act, 1956 Clarified; Validity and Compliance with 2013 Act Highlighted.</h1> The Ministry of Corporate Affairs clarifies the transitional period for resolutions passed under the Companies Act, 1956, during the financial year 2013-14. These resolutions, passed between 1st September 2013 and 31st March 2014, can be implemented under the old act's provisions if implementation began before 1st April 2014. This transitional arrangement is valid until one year after the resolution's passage or six months after the corresponding provision in the Companies Act, 2013, whichever is later. Amendments to resolutions must comply with the new act. This clarification is issued with the competent authority's approval.
