<h1>Alternate Directors' Tenure: Must Remain Directors to Serve as Managing Directors; Requires Section 269 & 255 Approvals.</h1> A person initially appointed as an additional or alternate director can continue as a managing or whole-time director only if they remain a director. An additional director appointed by the board serves until the next annual general meeting, after which their directorship and managing directorship cease unless re-elected. An alternate director loses their position when the principal director returns, ending their managing directorship. Central Government approval under section 269 and annual general meeting approval under section 255 are required. If a managing director is not re-elected, they can continue as an employee without government approval, but specific provisions in company articles require approval.
