<h1>Companies Law: Special Resolution Needed to Move Registered Office Beyond City's Local Limits.</h1> Clause (a) of sub-section (2) of section 146 of the Companies Law stipulates that a company's registered office cannot be relocated outside the local limits of its current city, town, or village without a special resolution. Due to urban expansion, cities often grow beyond municipal boundaries. Therefore, 'local limits' should encompass both local body limits and postal limits, and if these do not align, the broader of the two should apply.
