<h1>Private companies can't bypass section 284 by adding extra director removal grounds; must act in a general meeting.</h1> A private company cannot bypass the provisions of section 284 by adding extra grounds in its articles for directors' vacation of office, as outlined in section 283(3). If these additional grounds effectively lead to a director's removal, such action must be taken by the company in a general meeting, as required by section 284. Any authority granted to the board of directors in this regard would be legally ineffective due to section 9.
