of <h1>Shareholder Notification Rule for Director Candidacy Applies Only to Public Company Subsidiaries u/s (1A).</h1> The requirement to notify shareholders about the candidacy for directorship of a person other than a retiring director, as outlined in sub-section (1A), applies only where sub-section (1) is applicable. Sub-section (2) exempts private companies from sub-section (1) unless they are subsidiaries of public companies. Therefore, sub-section (1A) does not apply to private companies unless they are subsidiaries of public companies.
