of <h1>Clarification on Contracts: Section 301 Exempts Certain Section 299 Contracts from Board Presentation Requirements.</h1> Section 301 of the Companies Law applies to contracts under section 297 that must be submitted to the board of directors, as well as those under section 299. For contracts under section 299 that do not require board submission due to delegated authority or other reasons, the details regarding their placement before the board need not be shown. This circular clarifies that such details are not mandatory for contracts that fall under section 299 and are exempt from board presentation requirements.
