Issue (i): Whether the inter-company loan transaction fell within the exception to deemed dividend under section 2(22)(e) of the Income-tax Act, 1961.
Analysis: The addition was based on the second limb of section 2(22)(e), treating the loan as deemed dividend in the hands of the assessee because of common shareholding in the two companies. The record showed, however, that the transaction was between two corporate concerns in the course of their regular business dealings, one being a registered non-banking finance company and the other engaged in investment and finance activity. The funds were moved through continuous business transactions, were utilised for business purposes, and there was nothing to show that the assessee derived any individual benefit from the amounts advanced. The exclusion for loans or advances made in the ordinary course of business where lending of money is a substantial part of the business was therefore attracted.
Conclusion: The addition made under section 2(22)(e) was deleted and the issue was decided in favour of the assessee.
Issue (ii): Whether the claim for exemption of house rent allowance under section 10(13A) of the Income-tax Act, 1961 was allowable on the facts proved.
Analysis: Section 10(13A) permits exemption only to the extent rent expenditure is actually incurred. The assessee failed to produce evidence of actual rent payment before the Assessing Officer, the first appellate authority, or the Tribunal. In the absence of proof of rent having been paid, the statutory condition for exemption was not satisfied.
Conclusion: The disallowance of the house rent allowance claim was sustained and this issue was decided against the assessee.
Final Conclusion: The appeals succeeded on the deemed dividend issue but failed on the house rent allowance claim, resulting in partial relief to the assessee.
Ratio Decidendi: A loan or advance between concerns falls outside deemed dividend where it is made in the ordinary course of business and lending of money is a substantial part of the payer's business, while exemption for house rent allowance requires proof of actual rent expenditure.
